Court-appointed Lead Plaintiffs, FrontFour Capital Group LLC and FrontFour Master Fund, Ltd. on behalf of themselves and the Settlement Class, have reached a proposed settlement of the Action for $17 million in cash and $30 million in Combined Company Common Stock that, if approved, will resolve all claims in the Litigation (the “Settlement”).

If you are a member of the Class, your rights will be affected and you may be eligible for a payment from the Settlement.  The Class consists of:

Any and all record holders and beneficial owners of MCC common stock at any time during the Settlement Class Period, together with their successors and assigns, but excluding Stipulating Defendants, their Immediate Family, SIC and any person, firm, trust, corporation, joint venture, partnership, foundation or other entity related to or affiliated with any of the Stipulating Defendants, members of their Immediate Families or SIC. 

If you are a member of the Class, you are eligible to receive a pro rata distribution from the Settlement proceeds.  Class Members do not need to submit a claim form in order to receive a distribution from the Settlement, if approved by the Court.

IMPORTANT DATES

October 3, 2019

Objection Deadline. Any objections to the proposed Settlement, the proposed Plan of Allocation, and/or the request for attorneys’ fees and reimbursement of expenses, must be received no later than October 3, 2019, in accordance with the instructions in the  Notice.

October 24, 2019 at 3:15 p.m.

The Settlement Hearing. The Settlement Hearing will be held on October 24,  2019 at 3:15 p.m., before the Honorable Kathaleen St. Jude McCormick, at the Court of Chancery, New Castle County Courthouse, 500 North King Street, Wilmington, Delaware 19801.  The Settlement Hearing will be held by the Court to consider the fairness, reasonableness, and adequacy of the proposed Settlement, and the application by Lead Counsel for attorneys’ fees and litigation expenses.
